1. Acceptance of Terms

By accessing and using Business Lister ("the Service", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Business Lister is a platform that facilitates the listing of businesses for sale across multiple online marketplaces. We provide a service that allows you to submit your business information once, and we will publish it across various third-party marketplaces on your behalf.

2. Service Description

Business Lister provides a multi-platform business listing service that:

• Allows you to submit your business information through our online form
• Publishes your business listing across 100+ major marketplaces including, but not limited to, Flippa, Acquire.com, BizBuySell, SideProjectors, IndieMaker, Empire Flippers, and other niche sites and founder communities
• Provides a centralized dashboard to manage inquiries and track listing performance
• Offers AI-powered listing optimization (available on Pro and Premium plans)
• Facilitates communication between sellers and potential buyers through our unified inbox system

We guarantee exposure across multiple marketplaces, but we do not guarantee that your business will be sold. The sale of your business depends on market conditions, pricing, buyer interest, and other factors beyond our control.

3. User Accounts and Responsibilities

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 User Responsibilities

You agree to:

• Provide accurate, truthful, and complete information about your business
• Maintain and update your business information to ensure it remains accurate
• Have the legal right and authority to sell the business you are listing
• Comply with all applicable laws and regulations in your jurisdiction
• Not list businesses that are illegal, fraudulent, or violate any third-party rights
• Respond to buyer inquiries in a timely and professional manner
• Notify us immediately of any unauthorized use of your account

4. Listing Process

4.1 Submission Process

The listing process involves the following steps:

1. Business Information Submission: You complete our comprehensive listing form, providing details about your business type, financials, assets, revenue models, tools used, social media presence, and other relevant information.
2. Review and Optimization: Our team reviews your submission and, depending on your plan, may optimize your listing using AI-powered tools to maximize buyer interest.
3. Publication: We publish your listing across the selected marketplaces within 3-5 business days of submission.
4. Ongoing Management: You can manage inquiries, update listings, and track performance through your dashboard.

4.2 Listing Requirements

All listings must include:

• Accurate business name and description
• Honest financial information (revenue, expenses, profit margins)
• Clear pricing information
• Relevant business assets and included items
• Appropriate images and media (if applicable)
• Contact information for buyer inquiries

4.3 Listing Modifications

You may request modifications to your listing at any time. We will update your listing across all platforms, though processing times may vary. Significant changes may require re-review and could result in temporary listing suspension.

5. Pricing and Payment Terms

5.1 Subscription Plans

We offer the following subscription plans:

• Starter ($99/month): Listed on 10+ platforms including top marketplaces & directories, AI-optimized listing copy, unified buyer inbox, weekly performance snapshot, and email support.
• Growth ($249/month): Listed on 50+ platforms including paid marketplaces, brokers, directories & forums, posted to 30+ founder groups & social channels, premium AI listing optimization, live dashboard with impressions & engagement, and priority support.
• Scale ($699/month): Everything in Growth, plus listed on 100+ platforms, posted to 100+ groups across Slack, Discord, Reddit, LinkedIn & Twitter, direct email blast to vetted buyer database, featured in monthly newsletter, dedicated account manager, real-time analytics, and unlimited listing updates.

5.2 Payment Terms

All fees are charged monthly in advance. Payments are processed through our secure payment processor (Stripe). By subscribing to a plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription.

5.3 No Success Fees

We only charge a monthly listing fee - no success fees or commissions. You keep 100% of your sale proceeds. However, please note that third-party marketplaces where your listing appears may charge their own success fees upon sale. These fees are set by each individual marketplace and are separate from our monthly listing fee. You are not obligated to sell on any specific marketplace.

5.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply to subsequent billing cycles. We will notify you of any price changes at least 30 days in advance.

6. Refund Policy

We offer a 7-day money-back guarantee. If we haven't started publishing your listing within 7 days of your payment, you may request a full refund, no questions asked.

Once your listing has been published across marketplaces, refunds are not available for the current billing period. However, you may cancel your subscription at any time, and it will not renew for the next billing cycle.

To request a refund, please contact us at admin@businesslister.io with your account details and reason for the refund request.

7. Third-Party Marketplaces

Business Lister publishes your listing on third-party marketplaces. We are not responsible for:

• The terms and conditions of third-party marketplaces
• Success fees or commissions charged by third-party marketplaces
• The availability, functionality, or policies of third-party marketplaces
• Any disputes between you and buyers that arise on third-party platforms
• The removal or modification of your listing by third-party marketplaces

Each marketplace has its own terms of service, fee structure, and policies. You are responsible for reviewing and complying with the terms of each marketplace where your listing appears.

8. Intellectual Property

8.1 Your Content

You retain all ownership rights to the content you submit, including business descriptions, images, financial information, and other materials ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute Your Content for the purpose of providing our Service, including publishing your listing on third-party marketplaces.

8.2 Our Content

All content on the Business Lister platform, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the property of Business Lister or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

9. Prohibited Uses

You agree not to use the Service to:

• List businesses that are illegal, fraudulent, or violate any laws or regulations
• List businesses that infringe on intellectual property rights of others
• Provide false, misleading, or inaccurate information
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any activity that could harm, disable, or impair the Service
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers connected to the Service
• List businesses that promote hate, violence, or discrimination
• List businesses involved in illegal activities, including but not limited to money laundering, fraud, or terrorism financing

10. Limitation of Liability

We guarantee exposure, not outcomes. Business Lister provides a listing service and does not guarantee that your business will be sold, that you will receive inquiries, or that any inquiries will result in a sale.

To the maximum extent permitted by law, Business Lister, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any failure to sell your business
• Any errors or omissions in your listing
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
• Any actions or inactions of third-party marketplaces
• Any disputes between you and buyers

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Data Privacy and Security

We take the privacy and security of your data seriously. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using our Service, you consent to:

• The collection and use of your business information for the purpose of creating and publishing listings
• The sharing of your business information with third-party marketplaces where your listing will appear
• The use of your contact information to facilitate communication with potential buyers
• The storage of your data on our secure servers and third-party service providers

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your dashboard or by contacting us at admin@businesslister.io. Your subscription will remain active until the end of your current billing period, after which it will not renew.

12.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You violate these Terms and Conditions
• You engage in fraudulent, illegal, or harmful activities
• You fail to pay subscription fees when due
• We determine, in our sole discretion, that your use of the Service poses a risk to us or other users

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, remove your listings from third-party marketplaces. You remain responsible for any fees incurred prior to termination.

13. Dispute Resolution

If you have any disputes or concerns regarding the Service, please contact us at admin@businesslister.io. We will make reasonable efforts to resolve any disputes in good faith.

For disputes that cannot be resolved through direct communication, you agree to first attempt to resolve the dispute through informal negotiation. If informal negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of any material changes by:

• Posting the updated terms on our website
• Sending an email to the address associated with your account
• Displaying a notice on the Service

Your continued use of the Service after such modifications constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of the Service and cancel your subscription.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Business Lister operates, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Business Lister regarding the use of the Service and supersede all prior agreements and understandings.
